These Terms of Service ("Terms") govern your access to and use of AskAboutTax, a service provided by KiwiBooks Inc. ("AskAboutTax," "we," "us," or "our"), including the website at askabout.tax, the practice workspace, and the client chat your practice offers through it (together, the "Service"). AskAboutTax is a standalone product in the KiwiBooks family; it does not require a KiwiBooks subscription.

In these Terms, "you" means the person or business that registers for the Service (the "practice"). By registering for or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Description of the Service

AskAboutTax is a practice-controlled AI chat that sits between your practice and your clients. It provides:

  • A client page for your practice, where clients on your permitted client list sign in with a one-time passcode
  • An AI assistant that gives clients general tax, business, and practice support information within the rules and sources you set
  • Calls to action you choose, such as leaving a note, booking a meeting through your own scheduling tool, or emailing you
  • A summary of each client session in your workspace, with the full transcript, and optional email notifications after each chat or once a week, according to your delivery preference
  • Tools to manage your permitted client list, client notes, per-client limits, and data retention

The AI chat does not prepare or file tax returns, give tax advice or client-specific tax conclusions, or handle tax return information. Private file sharing is a separate practice custody flow; uploaded files are not automatically sent to AI models. The Service links to your scheduling tool rather than booking meetings itself.

Eligibility

You must be at least 18 years old and able to form a binding contract. The Service is intended for accounting, tax, and financial professionals and their practices, such as CPAs, enrolled agents, tax preparers, and bookkeepers, using it for their own clients. If you register on behalf of a business, you confirm that you have authority to bind it to these Terms.

Accounts and One-Time Passcode Security

You and your clients sign in with a one-time passcode sent by email; the Service does not use passwords. When you register, you agree to:

  • Provide accurate, current, and complete information, and keep it up to date
  • Keep the email account you sign in with secure, because anyone who can read it can receive your passcodes
  • Keep your permitted client list accurate, because only listed emails can sign in to your client chat
  • Tell us promptly at legal@kiwibooks.ai if you believe someone has accessed your account without permission
  • Accept responsibility for activity under your account

We apply rate limits to sign-in and chat. We may suspend an account that violates these Terms or contains false information.

Plans and Billing

askabout.tax offers Starter, Standard and Pro with independent monthly AI processing and pooled practice storage allowances. Pay as you go is Pro plus the AI or storage packs you explicitly purchase. There are unlimited client records and no per-client fee. Adding or resuming client records grants no additional AI or storage. Fixed plans do not incur automatic overage charges.

  • Starter: $8 per month, or $80 billed once a year. Monthly AI processing allowance: 1M estimated processed characters. Pooled practice storage: 1 GB.
  • Standard: $20 per month, or $200 billed once a year. Monthly AI processing allowance: 3M estimated processed characters. Pooled practice storage: 5 GB.
  • Pro: $100 per month, or $1,000 billed once a year. Monthly AI processing allowance: 16M estimated processed characters. Pooled practice storage: 25 GB.

AI packs cost $25 per 5M estimated processed characters per month; storage packs cost $10 per 10 GB per month. Purchases are independent, require explicit owner confirmation and confirmed payment, and can accompany an annual base plan. Initial AI price and capacity are prorated together for the remaining allowance period. Monthly allowance periods follow the original subscription anniversary in UTC, including short-month day clamping. Renewals and plan changes do not erase spent usage. Storage does not reset each month; existing files continue to consume capacity. At capacity, new uploads pause without deleting existing files.

Every active paid plan includes up to 50 staff plus the owner, with no per-seat charge. Pending unexpired invitations reserve seats. Staff must use a verified mailbox on an independently verified practice domain; public email providers are ineligible. Domain proof expires after seven days and must be reverified. Staff roles remain limited to the client workspace. Client email sign-in does not require a practice domain.

Existing subscriptions keep their original versioned prices and AI allowances until an explicit supported plan change. Legacy metered Pay as you go subscriptions retain their original billing and calendar-month usage limit; this metered offer is not the current launch catalog. No historical payment or spending record is rewritten.

There is no free plan. You can try the scripted demo on askabout.tax before you subscribe. Your clients can sign in and chat only while your practice has an active paid plan.

  • Subscriptions renew automatically each month or year, depending on the plan you choose, until cancelled
  • You can cancel at any time from your account; cancellation takes effect at the end of the current billing period
  • Except where the law requires otherwise, payments are non-refundable
  • We may change prices with 30 days' advance notice; a change applies from your next billing period
  • Payments are processed by Stripe; we do not store your full card details

Session estimates are approximate. The number of sessions a cap allows depends on how clients use the chat.

Failed Payments and the Inactive State

If a payment fails, our payment processor retries it. While it retries, your plan stays in place and your clients can still chat, and your account page tells you the payment failed so you can update your payment method.

If the retries do not succeed, or your subscription ends or is cancelled, your plan becomes inactive. While it is inactive, your clients cannot sign in or chat, and open chats close. You can still sign in to your workspace, see your data, and reactivate your plan. Your data stays subject to the retention periods below, and to the inactive-account rule under Termination.

Fair Use and Chat Allowances

Current plans have a shared monthly AI allowance, with independently purchased AI packs. Legacy metered subscriptions retain their owner-selected calendar-month usage spending limit. Usage is displayed as estimated processed characters. Estimates use four characters per provider token and include replies, context and repeated chat history, not just typed text. Chat counts are approximate. Provider token counters and the shared AI allowance determine usage and enforcement. The AI allowance includes answers, summaries and backup attempts, so chat length and complexity can affect remaining capacity. You can set a monthly allowance for each client record, and we alert you when your practice reaches 80% of its plan allowance.

When a client's limit or your plan cap is about to run out, the chat stops the conversation with an apology, your calls to action stay available, and the session ends with a summary for you.

If an account uses the Service in a way that is abusive, automated at scale, or harmful to the Service or other users, we may throttle, restrict, or suspend it. Where it is practical, we will give notice first.

Acceptable Use

You agree not to, and not to let your staff or clients:

  • Use the Service for any illegal purpose or in violation of any law or professional rule that applies to you
  • Ask clients to share, or place in client notes or your knowledge base, tax return information, Social Security numbers, ITINs, or account numbers
  • Present the AI assistant's answers as your own professional advice without reviewing them
  • Attempt to gain unauthorized access to the Service, other accounts, or the models behind it, or try to bypass its safeguards
  • Interfere with or disrupt the Service, or upload malicious code
  • Scrape or harvest data from the Service, or resell it without our written permission
  • Use the Service to send spam or to impersonate any person or business

AI-Generated Content; Not Tax Advice

The client chat's answers are generated by AI models from Anthropic and OpenAI, running on Amazon Bedrock. AI can be wrong, incomplete, or out of date, even within your rules and sources.

  • Answers are general information, not tax, legal, or accounting advice, and not client-specific conclusions
  • Clients see an AI disclosure and disclaimers before the chat opens, a verification line under every answer, and a closing message that repeats the AI warning
  • The Service never calculates a client's own tax
  • AskAboutTax is software, not an accounting firm, and it does not review or approve answers for you

You remain responsible for any advice you give your clients. Review your session summaries and talk with your clients before they act.

Your Responsibility to Your Clients

Your practice, not AskAboutTax, has the relationship with your clients. For the client chat, your practice is the business responsible for your clients' information, and AskAboutTax is your service provider. You are responsible for:

  • Deciding which clients may use the chat, and keeping your permitted client list current
  • The rules, sources, notes, fees, and positions you add, and keeping them accurate
  • Reviewing and providing the client privacy notice and client terms. We provide templates, linked from the sign-in screen, which name your practice as the responsible business
  • Meeting the professional, regulatory, and disclosure rules that apply to you, including any state rules on disclosing the use of AI and IRS Circular 230
  • Following up with clients on the questions and next steps the chat records

Data and Content Ownership

  • Ownership: the person or business that registers owns the subscription and all its data, including the permitted client list, transcripts, summaries, client notes, and the content you add.
  • License to us: you grant us a limited license to host, process, and display that data only to provide the Service to you and your clients, including sending screened chat context to the AI models that answer and summarize. Private shared files remain separate and are not automatically submitted to those models.
  • No training: we do not use your data or your clients' conversations to train AI models.
  • Service measurements: we may use measurements that contain no client content, such as token counts, response times, and client ratings of the chat, to operate, price, and improve the Service.
  • Your responsibility: you confirm that you have the right to provide the data you add, and that it complies with these Terms.

Data Retention and Deletion

  • Shared files, transcripts, summaries, and client notes are deleted automatically after a retention period. The default is 3 years after the client's most recent chat or successful file sharing
  • You can shorten the retention period, or extend it with a reason, such as a state board retention rule
  • You get a notice 30 days before automatic deletion
  • You can delete one session, one client, or all of your data at any time
  • A deletion log records what was deleted and when, with no client content

Deleted data cannot be recovered. Keep a copy of anything you need before it is deleted.

Third-Party Services

The Service relies on third parties, including Amazon Web Services (hosting, storage, and Amazon Bedrock for AI models from Anthropic and OpenAI), Stripe (payments), and Resend (email). Links you add, such as your scheduling tool or contact page, lead to services we do not control. Your use of third-party services is subject to their terms and privacy policies, and we are not responsible for them.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We do not warrant that the Service, or any AI-generated answer or summary, will be accurate, complete, uninterrupted, error-free, or secure. We disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KIWIBOOKS INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, business opportunities, or goodwill
  • Decisions made or actions taken by you or your clients based on AI-generated content
  • Unauthorized access to or alteration of your data
  • Any third-party conduct or content

Our total liability shall not exceed the amount you paid us in the 12 months before the claim.

Indemnification

You agree to indemnify, defend, and hold harmless AskAboutTax, KiwiBooks Inc., and their affiliates from any claims, damages, losses, and expenses (including legal fees) arising from your use of the Service, your clients' use of the chat you offer, your content, your violation of these Terms, or your violation of any law or professional rule.

Termination

  • By you: you may cancel your subscription at any time from your account and ask us to delete your account.
  • By us: we may suspend or terminate your account for violations of these Terms, fraudulent activity, or conduct that harms us, your clients, or other users.
  • Inactive accounts: we may permanently delete an account that has had no login for 12 months and has a declined payment. We decide case by case; nothing is automated. The owner gets an email notice 30 days before deletion with a link to download their data. Deleting an inactive account overrides the retention period.

When your account ends, your right to use the Service ends and your clients can no longer sign in. We may keep records the law requires, such as billing records.

Dispute Resolution

  • Informal resolution: before filing any legal claim, you agree to contact us at legal@kiwibooks.ai to try to resolve the dispute informally.
  • Arbitration: any dispute not resolved informally shall be settled by binding arbitration under the rules of the American Arbitration Association. You agree to waive your right to a jury trial and to participate in class actions.

Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any legal action must be brought in the state or federal courts located in Delaware.

Changes to These Terms

We may modify these Terms. We will tell you about material changes by email or in the Service at least 30 days before they take effect. Continuing to use the Service after that constitutes acceptance.

General Provisions

  • Entire agreement: these Terms and our Privacy Policy are the entire agreement between you and us about the Service.
  • Severability: if any provision is unenforceable, the rest continue in effect.
  • Waiver: our failure to enforce a right does not waive it.
  • Assignment: you may not assign these Terms without our consent. We may assign our rights freely.
